PUBLIC NOTICE OF ARTICLE 9 SALE: WEST COAST–BASED CLOTHING MANUFACTURING COMPANY OF MULTICATEGORY (SPORTWEAR, ACTIVEWEAR, RESORTWEAR, LOUNGEWEAR AND SWIMWEAR)

ABC Services Group, Inc., (“ABC Services” and/or “Agent” for seller) has been engaged by the secured creditor (“Seller”) and is selling substantially all assets of the company (Debtor). Assets offered for sale include fixed assets, inventory, intellectual property, receivables, claims and other assets (“Assets”) as is more fully described in the Notification of Disposition of Collateral at Public Sale dated June 3, 2021, pursuant to Section 9-610 et seq. of the Uniform Commercial Code in effect in the State of Delaware and California. All Asset will be sold in bulk.
The auction (“Auction”) will be conducted, and the public notice is being provided, pursuant to Section 9610 of the Uniform Commercial Code as adopted by the State of California and State of Delaware, any other applicable jurisdictions and any other applicable law.
The Auction will be held on June 21, 2021, at 10:00am (PDT). It will be held at ABC Services Group, Inc., located at 695 Town Center Drive, Ste. 650, Costa Mesa, CA 92626, however open bidding will be conducted via video conferencing. Only Pre-Qualified Bidders and their representatives may attend the Auction.
Any person that wishes to bid at the Auction must first become a Qualified Bidder. To become a Qualified Bidder, ABC Services must have received in accord with the Bid Procedures, an executed copy of the Non-Disclosure Agreement and Bid Procedures, proof of funds evidencing the ability to consummate the applicable transaction acceptable to Seller in its sole discretion together with the receipt of the minimum earnest money deposit paid in immediately available funds via wire transfer no later than 5:00p.m. (PDT) on June 18, 2021. The Purchase Price must be paid by wire transfer in lawful money of the United States no later than the close of business on June 22, 2021. The Secured Party reserves the right to credit bid up to the full amount of its debt.
